Question : How do I shutdown (using shutdown.exe) windows xp and not display UI?

I would like to shutdown windows - using any utility, including shutdown.exe - and wait xx amount of seconds for the user to close all apps and last, without any UI being displayed?

Actually after looking in to this a little more, the new version of pstools will do this nicely as well.  They used to be put out by another company but Microsoft now has them on their site.
