can not create or mount new mailbox store on exchange 2003 id no: c1041724, although I can mount old databases , no files for the new database are created

http://support.microsoft.com/kb/274534 should help in this case. This issue is occurring due to duplicate system mailbox for this store. You can either follow this article or use adsiedit.msc to find out the duplicate mailbox and remove it.
