Question : W3CTRS error

I am facing a problem with my 2 Web servers which has OS as windows 2003 Entp edition with SP1 and fully patched and IIS6 with Application Center 2000 installed on it. The hardware spec for the server are as DL380 with 2.8GHz CPU with 4GB RAM with RAID 1 on it , I have like 10 sites on the server which are load balanced, I get an pop up error w3wp.exe-Application error with the following description (The instruction at "0x7c82fc3e"referenced memory at "0x55accfd5".The memory could not be "read".)
It throws the following events in the application log and system log:

Once this comes the sites becomes slow and users cannot launch the site.
