Question : Windows update failing to install

windows update is failing to install. "updates were unable to be successfully installed"
Spybot will install, but can not update. "the external update application has been corrupted"
Clamwin anti-virus can install but can not update either. "an error occured during virus database update"

windows 2003 server sp1
no firewalls running
no proxy

things i have tried already with no luck:
deleting catroot2 and softwaredistribution folders.
re-registering msscript.ocx, dispex.dll, vbscript.dll, scrrun.dll.
time and date on server is correct.
ran trendmicro housecall, found some viruses, but all have since been cleared (ran it 5 times).
a gang load of other things, but i have been doing this for 8 hours now and my brain is completely fried.

please please please help.  i feel defeated.

For now rename these files :

C:\WINDOWS\system32\rstruihk.exe
C:\WINDOWS\system32\drivers\sysboot.sys
C:\WINDOWS\system32\admdll.dll
C:\WINDOWS\system32\agt0960.hlp
C:\WINDOWS\system32\chkdrv.vxd
C:\WINDOWS\system32\raddrv.dll
C:\WINDOWS\system32\update.exe
C:\WINDOWS\system32\wupdmgr.exe

Don't replace nothing for now ... i'il get back ...
